Please read these Terms of Service (“Terms”) carefully before activating the ScriptNow.io integration, widget, or portal (collectively, the “Services”). This agreement is a legally binding contract between ScriptNow.io (“Company”, “we”, “us”, or “our”) and the business entity subscribing to our Services (“Subscriber”, “Retailer”, “you”, or “your”).

By installing the ScriptNow.io widget, creating an account, or subscribing to our monthly plan via Shopify, you agree to be bound by these Terms.

1. NATURE OF THE SERVICES (MEDICAL DISCLAIMER)

ScriptNow.io is strictly a business-to-business (B2B) software-as-a-service (SaaS) platform providing e-commerce checkout integration tools, widgets, and data portal access.

  • No Medical Practice: ScriptNow.io is a technology company, not a medical clinic or healthcare provider. We do not practice medicine, employ healthcare practitioners via this software entity, or provide medical assessments, advice, or prescriptions.

  • Independent Provider Network: All medical evaluations, clinical consultations, patient communication, and prescribing decisions are managed independently by a separate, legally distinct clinical network (“Vantage Providers Network”). Vantage Providers Network operates over a completely separate, secure, and legally compliant Electronic Medical Record (EMR) platform.

2. SUBSCRIPTION FEES, BILLING, AND CANCELLATION

  • Subscription Model: Access to the ScriptNow.io widget and retailer portal is provided on a flat monthly subscription basis. All fees are billed upfront and auto-renew every 30 days via the Shopify billing system.

  • Cancellation Policy: You may cancel your subscription at any time directly through your Shopify admin portal. Upon cancellation, your access to the software portal and widget will remain active until the end of your current paid billing cycle.

  • No Refunds: All software subscription fees paid to ScriptNow.io are non-refundable. We do not provide prorated credits or refunds for mid-cycle cancellations.

3. RETAILER MARKETING AND CLAIMS RESTRICTIONS

To comply with medical advertising regulations, you agree to strict boundaries regarding how you market this integration on your storefront:

  • Permitted Claims: You may state on your website that your storefront offers direct checkout integration or seamless access to the Vantage Providers Network for required insurance prescriptions.

  • Prohibited Claims: You must not make any claims, guarantees, or warranties to consumers that a prescription will definitely be issued, or that third-party insurance reimbursement is guaranteed. The issuance of a prescription is entirely at the independent clinical discretion of the medical network.

  • Indemnification: You agree to indemnify, defend, and hold harmless ScriptNow.io against any legal claims, liabilities, or losses resulting from unauthorized medical, legal, or insurance guarantees made on your storefront.

4. DATA BOUNDARIES & PATIENT PRIVACY

ScriptNow.io maintains an absolute structural firewall between your e-commerce data and personal health records.

  • No Patient Data Sharing: As a Subscriber, your data access within the ScriptNow.io portal is strictly limited to aggregated, non-identifiable usage metrics (e.g., total number of widget uses). You will have zero access to any personal patient data, medical intake forms, clinical diagnoses, or prescription fulfillment details.

  • Secure Hand-off: When a consumer interacts with the widget, all personal health information (PHI) and credit card payments for clinical assessments are routed directly to the secure EMR of Vantage Providers Network. ScriptNow.io does not store, transmit, or view patient clinical data on its software servers.

5. PATIENT TRANSACTIONS AND REFUNDS

  • Separate Financial Flows: All financial transactions relating to patient medical assessments are handled directly between the consumer and the independent entity, Vantage Providers Network.

  • Refund Responsibility: Any consumer refunds resulting from an unissued prescription or an abandoned process are managed entirely by the clinical network merchant account. ScriptNow.io is not liable or financially responsible for consumer transaction reversals or patient-side disputes.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, ScriptNow.io shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the software widget, storefront integration down-time, or any outcomes stemming from the independent clinical network's medical decisions.

7. GOVERNING LAW

These Terms of Service, along with your use of the software platform, shall be governed by, interpreted, and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal disputes arising under this agreement must be resolved within the courts of Ontario.

8. CHANGES TO TERMS

ScriptNow.io reserves the right to update or modify these Terms at any time. Your continued use of the widget or software portal following any changes constitutes your binding acceptance of the updated Terms.
